These Terms are an agreement between you and Nicky’s Coaching Corner LLC, operator of Your Bright Spot. By creating an account, purchasing a subscription, or using the Services, you agree to these Terms and the Privacy Policy.
1. Eligibility and Accounts
You must be at least 18 and legally able to enter a binding agreement. Provide accurate information, safeguard credentials, and report unauthorized access.
2. Service and AI
Your Bright Spot provides reflection, journaling, goals, gratitude, audio, community links, and AI-companion features. Nova is AI—not a person. Output may be inaccurate, incomplete, unexpected, or unsuitable. You are responsible for evaluating it.
The Services do not provide medical, mental-health, legal, financial, religious, or other professional advice and do not create a professional relationship.
3. Crisis Warning
Your Bright Spot and Nova are not emergency or crisis services and cannot reliably detect every emergency. If you may harm yourself or someone else, are in immediate danger, or have a medical or psychiatric emergency, call 911 or your local emergency number. In the United States, call or text 988. Do not wait for an app response.
4. Subscriptions, Billing, and Cancellation
Prices, billing periods, trials, renewal terms, and included features are presented before purchase. Unless stated otherwise, subscriptions automatically renew until canceled. The applicable store or payment provider charges your payment method.
Cancel through the platform used to subscribe before its renewal deadline. Deleting the app or account does not automatically cancel an app-store subscription. Cancellation normally prevents future renewal and does not retroactively refund the current period. Refunds follow platform rules and applicable law. Prices may change prospectively with required notice.
5. Your Content
You retain ownership of content you submit. You grant us a limited, non-exclusive, worldwide license to host, copy, process, transmit, and display it back to you as necessary to operate, secure, improve, and support the Services as described in the Privacy Policy. You must have the right to submit your content.
6. Acceptable Use
You may not use the Services unlawfully or abusively; harm, threaten, exploit, or harass others; access another user’s account or memory; upload malware; bypass security; scrape or reverse engineer except where law allows; infringe rights; or use AI output for high-impact decisions about another person without appropriate authority and human review.
7. Intellectual Property
The Services, brands, logos, software, designs, prompts, and provider-created materials—excluding your content—belong to Nicky’s Coaching Corner LLC or its licensors. You receive a personal, limited, revocable, non-transferable right to use the Services as intended.
8. Third Parties
App stores, payment providers, AI vendors, Skool, and other linked services may have separate terms. We do not control or guarantee them.
9. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access when reasonably necessary for security, legal compliance, nonpayment, material breach, or protection of users. Provisions that logically survive termination remain effective.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OPERATION, PERFECT SECURITY, SPECIFIC WELLNESS OUTCOMES, OR ACCURATE AI OUTPUT. Rights that cannot legally be excluded remain unaffected.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NICKY’S COACHING CORNER LLC AND ITS PERSONNEL OR LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITIES. TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT. These limits do not apply where prohibited.
12. Indemnity
To the extent permitted by law, you agree to defend and indemnify us from third-party claims arising from your unlawful use, your content, or a material breach of these Terms, excluding claims caused by our wrongful conduct.
13. Governing Law and Disputes
Texas law governs. Before filing a claim, both sides will attempt informal resolution for 30 days after written notice through the website support channel. Unless law requires otherwise, courts in Travis County, Texas have jurisdiction. Either side may seek emergency relief or use eligible small-claims court. This draft imposes no mandatory arbitration or class-action waiver.
14. Changes
We may update these Terms prospectively and provide notice when required. If you disagree, stop using the Services before revised Terms take effect.
